Clairvo Terms of Service

Effective date October 17, 2026

These Terms form an agreement between Clairvo Inc., at 4700 West Spring Creek, Apartment 3307, Plano, TX 75024 (“Clairvo,” “we,” or “us”), and the business accepting them (“Customer” or “you”). They govern the Clairvo websites, software, dialing and communication features, APIs, integrations and related services identified in an accepted order (“Services”).

By accepting these Terms in an order or in the app, you confirm that you have authority to bind Customer. Users must be at least the age of majority and authorized by Customer. The Services are for business use only and are not offered to consumers.

1 Agreement and priority

The agreement consists of the accepted order, these Terms, the Data Processing Schedule, and any activated Data Use and Commercialization Schedule. The Privacy Policy explains our handling of personal information. A service description or sales statement does not change this agreement unless incorporated in an accepted order.

Mandatory law and mandatory transfer clauses prevail. The Data Processing Schedule governs processing undertaken on your behalf. A completed Data Use and Commercialization Schedule governs only its expressly identified independent processing; it does not convert other service data into commercially reusable data. A signed negotiated amendment controls only the provisions it expressly changes. An order otherwise controls price, subscription duration and purchased features. These Terms control remaining matters. Nothing in this priority rule authorizes processing inconsistent with binding privacy notices or individual rights.

2 Accounts and access

You must provide accurate business, billing and identity information and keep a reachable administrative and abuse-response contact. We may request information needed for identity checks, carrier approvals, fraud prevention or legal compliance and may decline activation if required information is missing or unreliable.

You control authorized users, roles, devices, integrations and API credentials. You must use available security controls appropriate to the risk, protect credentials, remove access when no longer needed and notify us promptly of suspected compromise. You authorize us to act on instructions from your verified administrators within their authority.

You are responsible for your users' conduct and use enabled by your credentials, including resulting charges, except to the extent caused by Clairvo's breach of its security obligations, negligence or willful misconduct. We may revoke sessions, restrict traffic and require credential resets or verification during an incident. You must cooperate with containment and preserve relevant evidence. This allocation does not waive either party's nonwaivable duties.

3 Service license and restrictions

During the paid subscription term, we grant you a limited, nonexclusive, nontransferable right to access the purchased Services for your internal business purposes and any expressly authorized agency use. Users, seats, minutes and other limits follow the order. You remain responsible for clients on whose behalf you operate and must identify the actual seller or sender when required.

You must not resell the platform without written authorization, bypass usage or security controls, access another customer's information, disrupt networks, introduce malicious code, or reverse engineer the Services except where applicable law gives a right that cannot be restricted. These restrictions do not prohibit permitted exports of your own data or lawful interoperability rights. API access remains subject to published rate limits and authorized scopes.

4 Calling and messaging compliance

You choose the recipients, lead sources, campaign purpose, content, timing and enabled features. You are responsible for ensuring that those choices and your use of the Services comply with laws applicable to you, the recipient and the communication. Relevant requirements may include the TCPA, Telemarketing Sales Rule, state calling laws, caller-ID rules, recording and interception laws, privacy laws, Canada's unsolicited telecommunications rules and CASL, and corresponding laws elsewhere.

You must:

  • Establish and document the legal basis for each campaign; obtain required consent for automated, artificial-voice, prerecorded and marketing communications; and verify that permission covers the actual seller, channel and purpose.
  • Maintain required registry subscriptions, registrations and licenses; screen against applicable national, regional and internal do-not-call lists at the legally required frequency; and apply the stricter applicable suppression rule. An exemption from one rule is not an exemption from all rules.
  • Honor revocations, opt-outs, objections and suppression requests within applicable deadlines. Maintain suppression records and prevent deleted leads from reappearing in campaigns through later imports.
  • Observe calling hours, frequency limits, abandoned-call restrictions, identification and opt-out requirements, reassigned-number rules and restrictions on emergency or protected numbers.
  • Obtain required notices and permissions for recording, transcription, monitoring, AI interactions and any authorized secondary use. Disclose artificial or automated agents where required and do not impersonate a real person without authorization.
  • Maintain evidence of consent, lawful lead sourcing, suppression, scripts, authorizations and campaign activity for the required periods and supply relevant evidence when reasonably requested for compliance or investigation.

A purchased lead, a published phone number, a CRM import or a successful call connection is not evidence that a call is lawful. Your agreement with Clairvo does not establish a recipient's consent. Tools for screening, local time, number reputation, recording notices or consent management assist your process and do not certify legal compliance or replace your own review.

5 Acceptable use

You must not use the Services for unlawful calls or messages, deceptive lead generation, fraud, harassment, threats, unlawful discrimination, trafficking in stolen information, unauthorized surveillance, unlawful voice cloning or activities that exploit children. You must not spoof caller identity unlawfully, falsify consent, evade suppression or carrier controls, rotate accounts or numbers to defeat lawful blocking, or knowingly transmit prohibited traffic.

Do not upload regulated sensitive information, children's information, payment-card security codes, authentication secrets or privileged material unless necessary for an expressly supported use under an appropriate written agreement. Do not use the Services to make eligibility decisions governed by consumer-reporting, employment, credit, housing, insurance or similar law unless we have expressly agreed to support that use. Comply with applicable export controls and sanctions.

Carrier and messaging rules made available to you apply to the relevant feature. We may introduce requirements needed to comply with law, prevent abuse or preserve network access, with notice when practicable. You may not use our platform to circumvent those requirements through another provider.

6 Investigation and suspension

We may promptly block individual communications, restrict numbers or features, revoke access, suspend an account or terminate affected Services when we reasonably believe that:

  • An account is compromised; traffic is unlawful, deceptive or harmful; consent evidence is missing or unreliable; or continued service creates a material security or network risk.
  • A carrier, network operator, competent authority or lawful industry traceback process requires action, or action is necessary to meet applicable legal obligations.
  • You materially breach this agreement, fail required verification or refuse reasonable cooperation with an investigation.

We may act without advance notice where delay could increase harm, frustrate an investigation or violate a legal or carrier requirement. Otherwise, we give reasonable notice and an opportunity to address the issue where practicable. We aim to limit restrictions to affected traffic or functionality when doing so is practical and lawful. We may require a documented remediation plan before restoration and may decline restoration where the grounds continue.

We may review relevant logs and content to investigate an identified issue to the extent lawful and necessary. We may preserve evidence and disclose relevant information to appropriate carriers, traceback participants and authorities where law permits or requires it. We assess requests rather than treating every informal request as unlimited authority to disclose data. We notify you when permitted and appropriate. We do not promise advance notice or a protective order as a condition of legally required cooperation.

We are not required to wait for a carrier to demand shutdown. We do not guarantee detection of every misuse, and our enforcement does not relieve you of campaign duties or us of our own duties. Good-faith, proportionate action authorized by this section does not itself constitute breach. Charges for completed usage and committed Services remain payable, subject to any required or expressly agreed credit or refund.

7 Networks and third parties

Service availability depends on telecommunications networks, connectivity, compatible equipment and providers. We do not guarantee connection rates, answer rates, caller-ID display, absence of spam labels or acceptance of traffic by a carrier. A carrier may reject traffic it considers suspicious even where you believe it is lawful.

You authorize transfers necessary to integrations you enable. Your independently selected third-party services have their own terms. We remain responsible for our own obligations and for our contracted subprocessors to the extent required by the Data Processing Schedule or law. A third-party disclaimer does not excuse our failure to select or manage our own providers as required.

Telephone numbers are subject to regulatory allocation and carrier availability. We provide applicable rights of use and lawful porting assistance, not ownership of numbering resources. You must provide accurate porting and registration information, and arrange timely port-out before termination where necessary. We do not guarantee restoration of a number after lawful release. Nonwaivable porting rights remain unaffected.

8 Data ownership and licenses

8.1 Customer Data

“Customer Data” includes information you or your users submit, import, create or cause us to process through the Services. It includes lead and contact lists; CRM and enrichment fields; consent and suppression records; campaign configuration and outcomes; recordings, voicemail and transcripts; messages, attachments and prompts; call metadata; and customer-specific outputs. Personal information remains subject to the rights of affected individuals regardless of contractual ownership.

As between the parties, you retain your rights in Customer Data. We do not acquire ownership of your lead lists or recordings merely by hosting them. You grant the licenses below only to the extent you hold the necessary rights.

8.2 Service processing license

You grant Clairvo and its permitted providers a worldwide, nonexclusive, royalty-free license to receive, host, copy, transmit, analyze, transform and display Customer Data as needed to provide your purchased Services, support your account, protect the platform and carry out lawful instructions. Personal-data processing undertaken on your behalf follows the Data Processing Schedule. This license lasts for the service and authorized retention periods and permits sublicensing only as necessary for those activities.

8.3 De-identified commercial materials

Subject to the Data Processing Schedule, lawful source processing, third-party restrictions and applicable individual choices, you authorize us to create information from Customer Data that meets the applicable legal standard for de-identification or anonymization and does not expose your identifiable confidential business information (“Eligible De-identified Data”).

You grant Clairvo a worldwide, nonexclusive, royalty-free license to use, reproduce, combine, analyze, modify, train and fine-tune models on, evaluate, sell, license, sublicense, publish and distribute Eligible De-identified Data and resulting eligible models, datasets, benchmarks and insights for lawful commercial purposes. That license may survive termination for material lawfully created before termination and only while it remains eligible. Clairvo may keep revenue from these uses without accounting or payment to Customer unless a signed order states otherwise.

We will maintain reasonable safeguards against re-identification and require recipients to comply with applicable restrictions. A label, hash, embedding, statistical transformation or model weight does not itself establish eligibility. Source data and outputs that remain identifiable or confidential do not become unrestricted simply because a model processed them. We do not deliberately expose identifiable customer records to other customers through this license.

8.4 Identifiable training and commercialization

Clairvo may use, train or fine-tune models on, or license, sell or distribute identifiable call or lead data only within a separately activated Data Use and Commercialization Schedule. That schedule must define the records, purposes, recipients, term, legal bases, choices and safeguards. Ordinary acceptance of these Terms does not activate that program. Training approval does not imply approval for external licensing, and licensing approval does not imply approval for unrelated model training.

The parties must satisfy applicable individual notice, consent, opt-out, sensitive-data, communications and other legal requirements. A customer license cannot waive those requirements or override an API, carrier, source-provider or existing confidentiality restriction. Personal-data rights are limited by lawful withdrawal, objection, deletion and other mandatory rights even if a commercial license would otherwise continue.

8.5 Clairvo technology and outputs

We retain our rights in the Services, software, general methods and models and in eligible materials developed under the licenses above. We grant you our transferable rights, if any, in outputs produced specifically for your account, excluding the underlying technology and third-party materials. Outputs may be similar to those generated for others and may not qualify for exclusive intellectual-property protection. No ownership claim expands our permitted use of personal or confidential information.

You may give us feedback, which we may use without restriction or payment, provided it does not incorporate Customer Data, confidential information or third-party material. Feedback rights are not a substitute for the data licenses in this section.

9 Your data assurances

You represent that you have lawful authority to provide Customer Data and instruct the processing you request. You must disclose source restrictions, provide required notices, obtain required permissions and keep evidence supporting your authority. A vendor's general claim that a list is compliant does not discharge those duties.

For any independent-use program, you must separately establish authority for its purposes and disclose any confidentiality, consent, geographic, onward-transfer or revocation limits. You must promptly notify us when data becomes ineligible, a permission changes or a valid request affects the program. We retain our own legal obligations and may reject or remove data whose provenance or permitted use cannot be verified.

10 AI limitations

AI may generate inaccurate, incomplete, biased or unsuitable results, including incorrect transcripts, summaries, classifications or lead scores. You must review outputs before relying on them and apply appropriate human oversight. Do not use outputs as professional advice, conclusive consent evidence or a substitute for mandatory decision procedures. We do not guarantee that outputs are unique or free from third-party rights.

You must not use AI features or licensed data to identify people from qualifying de-identified information, extract another customer's records, evade privacy controls or create prohibited automated decisions. Any voice-generation or cloning feature requires separate permission where offered.

11 Confidentiality and data protection

Each party must protect nonpublic information disclosed by the other that is identified as confidential or that a reasonable person would understand to be confidential. Use is limited to this agreement and its express authorizations. Customer Data is confidential unless it lawfully qualifies for an express disclosure under Section 8. Only personnel and providers with a need to know and appropriate duties may access it.

Confidentiality does not cover information the receiving party can demonstrate was lawfully known without restriction, independently developed, publicly available without breach or lawfully obtained from another source. Required disclosure is permitted to the extent lawful, with notice when permitted and reasonable efforts to limit disclosure. Confidentiality lasts during the agreement and five years afterward, and for trade secrets while they remain legally protected. Data-protection obligations continue while the relevant information remains held.

Each party will comply with privacy law applicable to its activities. The Data Processing Schedule defines our obligations for personal information processed for you. Our Privacy Policy describes independent processing. Neither document gives the other party permission to violate law or a binding privacy commitment.

12 Fees and renewal

The order states fees, currency, subscription duration, included usage, overages, carrier pass-through charges and applicable taxes. You authorize the agreed payment method for amounts due. Unless the order says otherwise, subscription fees are payable in advance and usage fees in arrears. Fees are nonrefundable except as expressly provided here or required by law.

Unless the order says otherwise, subscriptions are billed monthly and renew automatically each month until canceled. Automatic wallet top-ups continue until you turn them off.

You may cancel on the Billing page in the app or by emailing hello@clairvo.io. Cancellation takes effect at the end of the current billing period, or of a longer committed term in the order, unless an earlier date applies under this agreement or law. We acknowledge receipt. We do not require an undisclosed cancellation interview. Price changes take effect at renewal after at least 30 days' notice, except documented tax or carrier-cost changes permitted by the order and law.

Notify us of a good-faith billing dispute within 30 days of the invoice, without waiving a longer nonwaivable legal period. Pay undisputed amounts while we investigate. We may suspend for nonpayment after notice and a reasonable opportunity to cure. We do not charge late fees. Actual reasonable carrier penalties or response costs caused by your breach may be passed through to the extent lawful and documented; this does not permit duplicate recovery or transfer of Clairvo's own unallocable regulatory fines.

13 Term and termination

The agreement begins upon acceptance and continues through the applicable subscriptions. Either party may terminate for material breach not cured within 30 days after written notice, where the breach can be cured. Section 6 governs urgent restriction and termination. We may terminate an affected service where law or a carrier requirement prevents continued provision, with notice when practicable.

If you terminate for our uncured material breach, or we permanently discontinue a paid service for reasons unrelated to your breach, we refund unused prepaid recurring fees for the affected period. If we terminate for your breach, accrued fees and enforceable committed charges remain due. Neither party may recover the same loss twice.

After termination, access ends except for any agreed export period. We make export available for 30 days where lawful and technically practicable, and then delete or return service data under the processing and retention schedules. Export is not guaranteed for data whose retention period has already expired or whose release would create a material security or legal risk. You must maintain the records you are independently required to retain. We are not your sole compliance archive.

Survival includes accrued payment obligations, confidentiality, lawful surviving data licenses, indemnification, liability limits and dispute provisions. Survival does not authorize new collection or override privacy rights or deletion obligations.

14 Service commitments and disclaimers

We will provide the Services with reasonable care and skill and materially in accordance with the purchased service description. We do not offer a service level agreement or service credits unless an order includes one. We do not promise uninterrupted operation, guaranteed campaign results, complete fraud prevention or that compliance tools will satisfy every legal requirement.

Except for express commitments in this agreement and rights that cannot lawfully be excluded, we disclaim implied warranties of merchantability, fitness for a particular purpose and noninfringement. Trial and beta features may change or stop and should not support critical operations. These disclaimers do not cancel the security and processing commitments we expressly undertake.

15 Customer indemnification

To the extent permitted by law, you will defend Clairvo and its affiliates, personnel and service providers against third-party claims arising from your unlawful campaigns; your breach of data-rights assurances; Customer Data supplied without required rights; or your or your users' material misuse of the Services. You will pay resulting judgments, approved settlements and reasonable defense costs. Covered claims may include calling, recording, privacy, intellectual-property and consent claims attributable to those acts.

This obligation does not apply to the extent a claim results from Clairvo's unauthorized data use, breach of this agreement, negligence or willful misconduct. Regulatory fines or penalties are covered only where law permits their allocation and only to the extent attributable to your conduct. No indemnity prevents a regulator or affected person from asserting rights against Clairvo.

We must give prompt notice, with delay reducing your obligations only to the extent it materially prejudices the defense. You may control the defense using competent counsel, subject to reasonable approval. We may participate at our expense and take necessary steps in an urgent matter or conflict of interest. You must not settle by admitting our fault, imposing nonmonetary duties on us or failing to release us without our consent, not unreasonably withheld. If you fail to provide a required defense, we may defend and recover reasonable covered costs.

16 Clairvo intellectual property indemnification

We will defend you against a third-party claim that the unmodified paid Services, used as authorized, infringe that party's patent, copyright, trademark or trade secret, and pay resulting judgments and approved settlements. This excludes claims caused by Customer Data, outputs as such, unauthorized modifications, combinations not supplied by us, or continued challenged use after we provide a materially equivalent noninfringing alternative.

You must provide notice, reasonable assistance and control of the defense subject to the settlement protections in Section 15. We may obtain continued rights, replace or modify the affected service, or terminate it and refund unused prepaid recurring fees if a practical cure is unavailable. This section states the contractual remedy for covered infringement, subject to nonwaivable rights and Section 17.

17 Limits on liability

To the extent permitted by law, neither party is liable under this agreement for indirect, consequential, special, exemplary or punitive damages, or lost profit or business opportunity, even if advised of the possibility. Amounts payable to a third party under an express indemnity are not excluded merely because that third party characterizes its loss that way.

Except as stated below, each party's aggregate liability arising from this agreement will not exceed the fees paid or payable by Customer for the affected Services during the 12 months preceding the first event giving rise to liability. For a wholly free trial, the cap is US $100. Related claims share a cap.

The aggregate cap for a party's breach of confidentiality or data-protection obligations, including Clairvo's unauthorized training or commercialization, is twice that fee amount. Customer's payment obligations and indemnity under Section 15 are outside the general and elevated caps. Clairvo's Section 16 indemnity falls within the general cap unless a signed order states otherwise.

No exclusion or cap applies to fraud, willful misconduct, gross negligence where exclusion is unlawful, death or personal injury to the extent liability cannot be limited, or any other liability that applicable law prohibits limiting. Nothing limits the rights of data subjects or authorities under applicable law. These limits allocate risk between the parties; they do not confer immunity from statutory claims.

18 Changes

We may update these Terms with at least 30 days' notice of material changes, except changes needed sooner to meet law or address an urgent security or abuse issue. A change that materially reduces your contractual rights during a prepaid committed term applies at renewal unless agreed otherwise or required by law. We maintain the effective date and make the prior applicable version available on request.

We do not expand secondary uses of previously collected personal information merely by posting revised Terms. New training or commercialization purposes require the notices, permissions, schedule updates and legal bases applicable to those uses.

19 Disputes and general provisions

Texas law governs, excluding conflict-of-law rules, subject to nonwaivable law. The state and federal courts in Collin County, Texas have jurisdiction, subject to mandatory rights. The parties will first attempt in good faith to resolve a dispute through written notice and discussion for 30 days, without preventing urgent relief or extending a statutory deadline unless agreed.

Neither party may assign the agreement without consent, not unreasonably withheld, except to an affiliate or successor in a merger, reorganization or sale of substantially all relevant assets that assumes the obligations and does not unlawfully reduce data protections. Events beyond reasonable control excuse delay to the extent actually caused, but not accrued payment duties or avoidable failures to maintain agreed safeguards.

The parties are independent contractors. If a provision is unenforceable, the remaining provisions continue to the extent lawful. Failure to enforce a right is not a waiver. This agreement supersedes prior agreements on its subject, except obligations expressly preserved. Notices may be sent to the verified account administrator and to privacy@clairvo.io and Clairvo Inc., 4700 West Spring Creek, Apartment 3307, Plano, TX 75024, subject to any mandatory service requirements. Electronic signatures and counterparts are permitted.
